SMARTIES Jury NDA (Non-Disclosure Agreement)

SMARTIES AWARDS — JURY CONFIDENTIALITY STATEMENT

This Confidentiality Statement ("Statement") is entered into between MMA Global, Inc. (the "Discloser") and the undersigned jury attendee (the "Jury").

1. Purpose
The Jury is attending SMARTIES Awards Jury meetings, discussions, and/or events organized by MMA Global during which confidential and proprietary information may be disclosed.

2. Definition of Confidential Information

"Confidential Information" means any and all non-public information disclosed by the Company or other Jurys, participants, or third parties during the judging process. This includes, but is not limited to:

  • Business plans, strategies, or concepts presented by participants
  • Personal or proprietary information about any participant or organization
  • Internal deliberations, scoring, and decision-making discussions among the Jurys
  • Any material marked as confidential or disclosed in circumstances of confidence.

3. Obligations of Jury
The Jury agrees to:

  • Maintain the confidentiality of the Confidential Information;
  • Not disclose, share, or discuss the Confidential Information with any third party;
  • Not use the Confidential Information for any purpose other than participation in the meetings and related activities;
  • Take reasonable steps to protect the confidentiality of the information.

4. Exclusions
Confidential Information does not include information that:

  • Is or becomes publicly available through no breach of this Statement;
  • Was lawfully known to the Jury prior to disclosure;
  • Is disclosed to the Jury by a third party legally entitled to make such disclosure;
  • Is independently developed by the Jury without reference to the Confidential Information.

5. Ownership and Return of Confidential Information and Other Materials

All Confidential Information of each of the parties, as Discloser, and any Derivatives thereof whether created by such Discloser or the other party, as Recipient, shall remain the property of Discloser, and no license or other rights to such Discloser’s Confidential Information or Derivatives is granted or implied hereby. For purposes of this Statement, "Derivatives" shall mean: (a) for copyrightable or copyrighted material, any translation, abridgment, revision or other form in which an existing work may be recast, transformed or adapted; (b) for material which is protected by trade secret, any new material derived from such existing trade secret material, including new material which may be protected under copyright, patent and/or trade secret laws.

All materials (including, without limitation, documents, drawings, models, apparatus, sketches, designs, lists and all other tangible media of expression) furnished by each of the parties, as Discloser, to the other party, as Recipient, and which are designated in writing to be the property of such Discloser, shall remain the property of such Discloser.

6. Term
This Statement shall remain in effect for a period of two (2) years from the date of the last meeting attended by the Jury, or until the Confidential Information no longer qualifies as confidential under Section 4.

7. No Assignment
Nothing in this Statement shall be construed as granting any license or rights to the Jury under any intellectual property rights of MMA Global.

8. Entire Statement

This Statement constitutes the entire Statement with respect to the Confidential Information disclosed hereunder and supersedes all prior or contemporaneous oral or written Statements concerning such Confidential Information.
